Terms & Conditions

The baseline rules for using the IndiePay website and services.

These terms set expectations for merchants, customers, developers, and visitors who use IndiePay’s website, dashboard, payment tools, Connect app, and APIs.

These Terms govern access to and use of the IndiePay website, dashboard, Connect app, APIs, payment links, payment buttons, seller pages, storefront tools, transaction verification features, and related services.

By using IndiePay, you confirm that you are at least 18 years old, legally capable of entering into a binding agreement, and authorized to use the services on behalf of yourself or the business you represent.

Use of the platform

IndiePay grants you a limited, non-exclusive, non-transferable right to use the platform for lawful payment-related business workflows. You must use the services only in accordance with these Terms and applicable law.

You must not misuse the platform, interfere with its security or availability, attempt unauthorized access, copy or resell platform content, upload harmful code, use IndiePay for deceptive or unlawful transactions, or violate third-party rights.

Merchants are responsible for the accuracy of their products, prices, invoices, customer communications, tax handling, order fulfillment, refund decisions, and any claims made through their payment pages or integrations.

Accounts and security

You agree to provide accurate account, profile, business, contact, UPI, and integration information and to keep it updated. IndiePay may review, restrict, or pause access where information requires correction or where platform integrity, compliance, or merchant protection requires it.

You are responsible for keeping your login credentials, API keys, webhook secrets, devices, and account access confidential. Promptly tell us if you believe your account or integration credentials need to be secured or rotated.

Services, pricing, and refunds

IndiePay provides payment management software for UPI payment flows, hosted selling experiences, APIs, dashboard reporting, and payment verification support. IndiePay does not provide a bank account, UPI account, escrow account, or custody of customer funds.

Pricing, credits, limits, plan features, and usage rules may be shown in the dashboard or on the website and may change with reasonable notice. Continued use after a change means you accept the updated commercial terms.

Customer payment refunds are generally handled by the merchant through their own UPI or banking channel unless a specific IndiePay-supported refund flow is available. Refunds for IndiePay credits, plans, or paid services are handled according to the applicable product terms and may be refused where permitted by law.

Intellectual property

The IndiePay website, dashboard, product design, software, APIs, copy, visuals, logos, trademarks, and other platform materials are owned by IndiePay or its licensors and are protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from IndiePay materials except where expressly permitted. Feedback you provide may be used by IndiePay without obligation to compensate you.

Platform operations

IndiePay is designed for reliable payment workflow management, transaction visibility, and verification support. Some workflows may depend on merchant configuration, connected devices, UPI apps, banks, telecom networks, hosting providers, or other infrastructure outside IndiePay’s direct control.

We may perform maintenance, updates, monitoring, and operational improvements to keep the platform stable, secure, and aligned with product and compliance requirements.

Limitation of liability and indemnity

IndiePay is responsible for providing the platform with reasonable skill and care. To the extent permitted by law, IndiePay is not responsible for indirect, incidental, special, consequential, punitive, revenue, profit, data, business interruption, transaction, or opportunity losses connected to platform use, merchant actions, customer disputes, or third-party systems.

Where monetary liability cannot be excluded, IndiePay’s total liability will be limited to INR 1,000 or the amount paid by you to IndiePay for the disputed service, whichever is lower.

You agree to defend and indemnify IndiePay against claims, losses, damages, liabilities, and expenses arising from your use of the services, breach of these Terms, violation of law, infringement of third-party rights, or fraudulent, negligent, or unlawful conduct.

Suspension and termination

You may stop using IndiePay at any time. IndiePay may suspend, restrict, or terminate access if an account violates these Terms, misuses the platform, affects platform integrity, or breaches applicable law.

After termination, IndiePay may retain transaction, account, and operational records where needed for legal, compliance, security, dispute, or audit purposes.

Changes, notices, and governing law

We may update the services, discontinue features, perform maintenance, modify these Terms, or issue notices through the platform, website, email, or other reasonable channels. Continued use after changes are posted means you accept the revised Terms.

These Terms are governed by the laws of India. Disputes will be handled by courts or forums having jurisdiction under applicable Indian law, unless a mandatory law requires otherwise.
